Agreement common points - consultant for our firm to undertake the work of an Organizational transformation

Hi, I am working with a Textile firm. We have hired one consultant for our firm to undertake the work of an Organizational transformation for which we need to sign an agreement between the consultant and our firm. He has sent a draft copy of the service agreement, which is more inclined towards the consultant side. Kindly share few common points which we can also incorporate into the agreement from our firm side.
